This End-User License Agreement ("Agreement") is a legal contract between you ("Licensee" or "you") and LeuB Apps LLC ("LeuB Apps," "we," or "us"), a company registered in Texas, United States, governing your use of SchemaStudio ("Software").
By installing, activating, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
Subject to your compliance with this Agreement and payment of the applicable license fee, LeuB Apps grants you a limited, non-exclusive, non-transferable (except as set out in Section 4), revocable license to install and use one (1) copy of SchemaStudio on a single computer ("Licensed Device") for your personal or internal business purposes.
This license is for a single seat. One license key authorizes use on one Licensed Device at a time. You may not use the same license key on multiple devices simultaneously.
SchemaStudio may be used free of charge for a period of thirty (30) days from the date of first launch ("Trial Period"). During the Trial Period, full functionality is available. At the end of the Trial Period, continued use requires the purchase and activation of a valid license key.
LeuB Apps makes no representations that the Trial Period will remain thirty (30) days in future releases. The trial terms applicable to each version are those in effect at the time that version is first launched on your device.
Activating a license key binds it to the Machine ID of the Licensed Device. The Machine ID is a unique identifier derived from hardware characteristics of your device. Once activated, the license key will not function on a different device unless a license transfer is granted under Section 4.
You are responsible for retaining your license key. LeuB Apps will make reasonable efforts to assist with license recovery, but cannot guarantee recovery in all circumstances.
You may request a transfer of your license to a different device if, for example, you replace your computer. To request a transfer, contact us at support@leubapps.com with your license key and the Machine ID of the new device (found in SchemaStudio under Help → About SchemaStudio).
License transfers are granted at LeuB Apps' reasonable discretion. You may not sell, sublicense, rent, lend, or otherwise transfer your license key to another person.
Under this Agreement, you may:
Files you create with SchemaStudio (schemas, exported JSON or XML, data records) are yours. This Agreement does not restrict your rights to the content you produce.
You may not:
SchemaStudio, including its code, design, graphics, documentation, and all other components, is and remains the exclusive property of LeuB Apps LLC and is protected by United States and international copyright, trade secret, and other intellectual property laws. This Agreement does not convey to you any ownership interest in the Software; you receive only the limited license rights expressly stated herein.
"SchemaStudio" and "LeuB Apps" are trademarks of LeuB Apps LLC. You may not use these marks in any manner without prior written permission from LeuB Apps.
Your license entitles you to all minor updates (e.g., v1.0 to v1.x) released during the life of SchemaStudio v1. Major version upgrades (e.g., v1 to v2) may be offered at a discounted upgrade price and are not included in this license.
LeuB Apps is under no obligation to provide updates, patches, or continued support for any version of the Software.
Your use of SchemaStudio is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. In connection with licensing, we collect your email address (to deliver your license key) and your Machine ID (to activate and validate your license). We do not collect usage telemetry, project content, or any other data from the Software itself.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEUB APPS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
LEUB APPS DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU ASSUME THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEUB APPS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF LEUB APPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL LEUB APPS' TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE LICENSE TO THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
This Agreement is effective until terminated. Your rights under this Agreement terminate automatically and without notice from LeuB Apps if you fail to comply with any of its terms.
Upon termination, you must cease all use of the Software and destroy all copies in your possession. LeuB Apps may also terminate or suspend your license key at its discretion if it determines that the key has been used in violation of this Agreement.
Sections 6, 7, 10, 11, 13, and 14 survive any termination of this Agreement.
This Agreement is governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement or the Software shall be resolved exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.
If you are a consumer resident in a jurisdiction where this choice of law or forum selection is not enforceable, the mandatory consumer protection laws of your jurisdiction may apply in addition to or instead of the above.
Entire Agreement. This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and LeuB Apps with respect to the Software and supersedes all prior agreements, representations, and understandings.
Amendments. LeuB Apps may update this Agreement from time to time. Continued use of the Software after notice of a material change constitutes acceptance of the revised terms.
Severability. If any provision of this Agreement is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
Waiver. Failure by LeuB Apps to enforce any right or provision of this Agreement does not constitute a waiver of that right or provision.
Export Compliance. You agree to comply with all applicable export control laws and regulations. You may not use or export the Software in violation of United States export laws.
